1. What PledgePair Is

PledgePair is a social giving challenge platform operated by Appleseed Media LLC ("we," "us"). Users create charitable giving pledges, share them, and pair with others who match them. PledgePair is not a charity, nonprofit, fundraiser, fiscal sponsor, or payment processor for donations. By using PledgePair, you agree to these Terms.

2. Donations Are Not Made Through PledgePair

All charitable donations are made directly to the nonprofit or donation partner you select, through their own websites or donation platforms (such as Every.org). PledgePair never receives, holds, or processes charitable donations, and does not issue charitable tax receipts. You are responsible for completing your own donations and retaining your own records.

3. Self-Confirmed Matches

Pledge matches on PledgePair are self-confirmed by users unless verified through an approved donation partner integration. We do not guarantee that any pledge or match reflects an actual completed donation. Pledges are personal commitments made by their creators; PledgePair is not a party to them and does not guarantee that any pledge will be fulfilled. Displayed totals and matched amounts are based on user-submitted information.

4. Platform Revenue, Merch, and Premium Media

PledgePair may offer optional platform support payments, sponsored placements, premium digital media purchases, and links to merchandise sold through Printify or another merchandise provider. These purchases are paid to Appleseed Media LLC or the applicable third-party provider, are not charitable donations, are not tax-deductible gifts, and do not count toward pledge totals.

Payments are processed by third-party providers such as Stripe under their own terms.

5. Refunds and Fulfillment

Platform support payments are voluntary and generally non-refundable, except where required by law. Premium digital media purchases may be non-refundable once generated, delivered, or made available, except where required by law. Merchandise purchases are fulfilled by the applicable merchandise provider and are subject to that provider's shipping, return, refund, and fulfillment policies.

6. Age Requirements

You must be at least 13 years old to use PledgePair. If you are under the age of majority where you live, you may use PledgePair only with permission from a parent or legal guardian. PledgePair is not directed to children under 13.

7. Public Display, Leaderboards, and Achievements

PledgePair may display public pledge activity, matched pledge activity, achievement badges, leaderboard entries, community statistics, and shareable content based on user-submitted or partner-verified information. Displayed totals and achievements may be removed, corrected, or adjusted at our discretion.

8. No Professional Advice

PledgePair does not provide legal, tax, financial, or charitable-giving advice. Users are responsible for evaluating nonprofits, donation platforms, pledge decisions, and any tax consequences of their own donations or purchases.

9. Acceptable Use

You agree not to use PledgePair to post false, misleading, unlawful, or harmful content; to impersonate any person or organization; to create fraudulent pledges or confirmations; to harvest data; or to interfere with the operation or security of the platform. We may remove content, cancel pledges, or restrict access at our discretion to protect the platform and its users, with or without notice.

10. Content You Submit

You retain ownership of the content you submit (such as pledge messages and names) and grant Appleseed Media LLC a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute that content on PledgePair and in shareable content generated by the platform (such as pledge cards, matched-moment images, and social previews), for the purpose of operating and promoting the platform.

11. Third-Party Services

PledgePair links to and integrates with third-party services. These may include donation partners, payment processors, hosting providers, analytics providers, advertising networks, merchandise providers, and media-generation providers.

We are not responsible for their content, policies, or actions. Nonprofit information is provided by third-party sources and may not always be current or complete. Inclusion of a nonprofit on PledgePair is not an endorsement.

12. Copyright Complaints (DMCA)

We respect intellectual property rights. Our designated copyright agent, registered with the U.S. Copyright Office, is: Jordan Doucette, Appleseed Media LLC, 25 First Ave SW Ste A, Watertown, SD 57201, United States; phone 605-202-4382; email support@pledgepair.com.

If you believe content on PledgePair infringes your copyright, send a notice to the agent above with: (a) your physical or electronic signature; (b) identification of the copyrighted work you claim is infringed; (c) identification of the material you claim is infringing and its location on PledgePair (such as the pledge URL); (d) your contact information; (e) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

We will respond to valid notices by removing or disabling access to the identified material. We may terminate access for users who repeatedly infringe. If you believe your content was removed in error, you may send a counter-notification to the same address containing the information required by 17 U.S.C. § 512(g)(3).

13. Your Responsibility and Indemnification

You represent that any content you submit is yours to submit and does not infringe the intellectual property, privacy, or other rights of any person or entity, and that your use of PledgePair complies with applicable law.

You agree to indemnify and hold harmless Appleseed Media LLC and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your content, your use of the platform, your violation of these Terms, or your infringement of any third-party rights.

14. Disclaimers and Limitation of Liability

PledgePair is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, Appleseed Media LLC is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including reliance on user-submitted pledge or match information. To the extent any liability is not legally excludable, our total liability for all claims relating to the platform is limited to the greater of $100 or the amount you paid us in the twelve months before the claim arose.

15. Termination

We may suspend or terminate access to PledgePair at any time for conduct that violates these Terms or harms the platform or its users. Sections 10, 13, 14, and 16 survive termination.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of South Dakota and applicable United States federal law, without regard to conflict-of-law rules. You agree that disputes will be resolved in the state or federal courts located in South Dakota, and you consent to their jurisdiction.

17. Changes

We may update these Terms from time to time. We will post the updated version on this page with a revised date. Continued use of PledgePair after changes take effect constitutes acceptance of the updated Terms.
